Welcome to Praaaa Empire. These Terms & Conditions (“Terms”) govern your access to and use of the Praaaa Empire website, online store, products, services and related features.

Praaaa Empire is a registered business in Ontario, Canada.

By accessing our website, creating an account, placing an order or otherwise using our services, you agree to these Terms. If you do not agree with these Terms, please do not use our website or purchase our products.

1. About Praaaa Empire

Praaaa Empire is a fashion and lifestyle brand offering apparel, accessories and related products through our online store.

Our products may be fulfilled from inventory located in Canada or through our international fulfillment network. The fulfillment location may vary depending on product availability, destination and other operational factors.

2. Eligibility and Customer Accounts

You must be legally capable of entering into a binding agreement to make purchases through our website.

You may purchase products as a guest where guest checkout is available or create a customer account.

You are responsible for maintaining the confidentiality of your account credentials and for information and activities associated with your account.

You agree to provide accurate, complete and current information when creating an account, placing an order or communicating with us.

3. Product Information

We make reasonable efforts to ensure that product descriptions, photographs, measurements, colours, materials, sizing information and other product details are accurate.

However, colours and appearance may vary depending on lighting, photography, production batches and the display settings of your device.

Because many of our products are apparel, minor variations in measurements, materials, finishes or construction may occur within reasonable manufacturing tolerances.

Customers are responsible for reviewing available product descriptions and sizing information before purchasing.

4. Product Availability

All products are subject to availability.

Placing an item in your shopping cart does not reserve the item.

We may limit quantities, discontinue products, correct inventory errors or cancel unavailable items when reasonably necessary.

If we cannot fulfill an item after payment has been received, we will provide an appropriate refund for the affected item or order.

5. Prices and Currency

Product prices are displayed in the currency indicated on our website or during checkout.

Prices may change without notice. A price change will not normally affect an order that we have already accepted, except where permitted by law or where an obvious pricing or technical error has occurred.

Your financial institution or payment provider may apply currency-conversion charges or other fees when purchasing in a currency different from your account currency. Such charges are determined by the relevant provider and are not controlled by Praaaa Empire.

6. Taxes

Applicable sales taxes will be calculated or displayed where required based on the nature of the transaction, shipping destination and applicable law.

International orders may also be subject to customs duties, import taxes, brokerage fees or other governmental charges as described in Section 11.

7. Orders and Order Acceptance

Submitting an order constitutes an offer to purchase the products in your order.

After placing an order, you may receive an automated confirmation acknowledging that we received your order. This acknowledgment does not necessarily mean that the order has been accepted for fulfillment.

We reserve the right, where reasonably necessary and permitted by law, to refuse or cancel an order because of:

• Product unavailability;
• Suspected fraud or unauthorized activity;
• Incorrect pricing or product information;
• Payment authorization problems;
• Shipping restrictions;
• Errors affecting inventory or our website; or
• Other circumstances preventing us from reasonably fulfilling the order.

If we cancel an order after receiving payment, the applicable amount will be refunded to the original payment method, subject to payment-provider processing times.

8. Payments

Available payment methods are displayed at checkout and may change from time to time.

Payments may be processed by third-party payment providers. Your use of a particular payment method may also be subject to the terms and privacy practices of that provider.

You agree to provide accurate payment information and represent that you are authorized to use the payment method submitted with your order.

9. Promotions, Discounts and Promotional Codes

Promotional offers, discounts and coupon codes may be subject to separate conditions, including expiration dates, eligible products, minimum purchase amounts or geographic restrictions.

Unless otherwise stated:

• Promotional codes cannot be redeemed for cash;
• Discounts cannot be applied retroactively to completed orders;
• Only one promotional code may be used per order where our checkout system imposes that restriction; and
• Praaaa Empire may modify or discontinue promotions in accordance with applicable law.

10. Shipping and Delivery

Shipping options, estimated delivery times and applicable shipping charges are presented during checkout where available.

Praaaa Empire uses third-party shipping and logistics providers to deliver orders.

Delivery estimates are estimates rather than guarantees unless expressly stated otherwise. Weather, customs processing, carrier disruptions, peak periods, incorrect addresses and other circumstances outside our reasonable control may affect delivery times.

11. International Orders, Customs and Duties

Some Praaaa Empire products may be fulfilled internationally, and Canadian inventory may also be available for delivery to customers outside Canada.

International shipments may be subject to customs duties, import taxes, brokerage fees and other charges imposed by the destination country or relevant authorities.

Where duties and taxes are collected by Praaaa Empire or the shipping provider during checkout under a prepaid-duty arrangement, this will be reflected where applicable.

Where duties, taxes or other import charges are not collected at checkout, the recipient may be responsible for paying those charges before or upon delivery.

Praaaa Empire does not control customs authorities or their processing times.

12. Shipping Addresses

Customers are responsible for providing a complete and accurate delivery address.

Please review your shipping information carefully before completing checkout.

If you discover an address error after placing an order, contact us as soon as possible. We cannot guarantee that an address can be changed after an order has entered processing or been transferred to a shipping carrier.

Additional costs resulting from an incorrect or incomplete address may be the customer’s responsibility where permitted by law.

13. Returns, Exchanges and Refunds

Eligible products may generally be returned within 14 days of confirmed delivery, subject to our Returns, Exchanges & Refunds Policy.

To qualify for a standard return, merchandise generally must be unworn, unwashed, unused and returned with its original tags and packaging, subject to any exceptions described in the policy.

Certain products may be final sale or otherwise ineligible for return where disclosed before purchase and permitted by applicable law.

For eligible change-of-mind or sizing returns, the customer is generally responsible for return shipping unless otherwise stated.

If Praaaa Empire sends an incorrect item or an item arrives defective or damaged, contact us promptly so that we can assess the issue and provide an appropriate resolution.

Nothing in our voluntary returns policy limits rights or remedies that cannot lawfully be excluded under applicable consumer-protection legislation.

14. Order Changes and Cancellations

If you need to modify or cancel an order, contact Praaaa Empire as soon as possible.

We will attempt to accommodate requests where reasonably possible, but an order cannot necessarily be changed or cancelled once processing, packing or shipping has begun.

If an order has already shipped, our Returns, Exchanges & Refunds Policy may apply instead.

15. Intellectual Property

Unless otherwise stated, the Praaaa Empire name, logos, branding, product designs, graphics, photographs, videos, website content, text and other materials appearing on our website are owned by, licensed to, or otherwise lawfully used by Praaaa Empire.

You may not reproduce, distribute, modify, sell, commercially exploit or use our intellectual property without authorization, except where permitted by law.

Purchasing a Praaaa Empire product does not transfer ownership of our intellectual property rights.

16. Reviews and User-Submitted Content

Customers may have opportunities to submit reviews, comments, photographs or other content.

You must not submit content that is unlawful, fraudulent, abusive, defamatory, infringing, misleading, malicious or otherwise inappropriate.

We may moderate or remove user-submitted content where reasonably necessary, subject to applicable law.

By voluntarily submitting content for publication through our website, you grant Praaaa Empire a non-exclusive right to display and use that content in connection with operating and promoting our website and products, subject to applicable law and our Privacy Policy.

17. Prohibited Uses

You may not use our website to:

• Commit or facilitate unlawful activity;
• Attempt fraud or unauthorized transactions;
• Introduce malware or malicious code;
• Interfere with the website’s operation or security;
• Scrape or systematically extract website content without authorization;
• Infringe intellectual property or privacy rights;
• Attempt unauthorized access to customer accounts, systems or data; or
• Abuse promotions, refunds, chargebacks or other store services.

We may restrict access or take other reasonable action where misuse is detected.

18. Third-Party Services

Our website and business operations may rely on third-party providers for services such as payments, shipping, tracking, website functionality and analytics.

Praaaa Empire is not responsible for the independent acts, systems or policies of third parties beyond the extent required by applicable law.

Occasionally, information may contain typographical errors, incorrect prices, inventory inaccuracies or other mistakes.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.

To the extent permitted by applicable law, Praaaa Empire will not be liable for indirect, incidental, special or consequential losses arising from use of our website or products where such liability may lawfully be limited.

These Terms do not waive statutory rights available to consumers under applicable consumer-protection legislation.

22. Governing Law

These Terms are governed by the applicable laws of the Province of Ontario and the federal laws of Canada applicable therein, without limiting any mandatory consumer rights that may apply based on a customer’s location.

We may update these Terms from time to time to reflect changes to our business, services, website or legal obligations.

The latest version will be published on this page with an updated “Last Updated” date.

Changes will apply prospectively as required by applicable law and will not remove rights that have already accrued to customers.

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.

These Terms, together with applicable policies referenced in them, including our Privacy Policy, Shipping & Delivery Policy and Returns, Exchanges & Refunds Policy, constitute the applicable terms governing use of our online store and purchases, subject to any additional terms disclosed for a particular product, promotion or service.
